Sandoloski, Lee R.

Mr. Sandoloski, Chairman of the firm’s Business & Corporate Transactions practice, concentrates in the areas of corporate law and business transactions. He has been engaged in the practice of law since 1980. Mr. Sandoloski’s clients are diverse and include early stage and closely-held companies. Mr. Sandoloski acts as a virtual general counsel, advising clients on day-to-day and long-term strategic business issues and transactions, including equity and debt financing, acquisitions and sales of assets and lines of business, joint ventures and partnerships, employment matters, real estate transactions and corporate governance.

In addition, Mr. Sandoloski has litigation experience in a broad range of business and commercial disputes. Mr. Sandoloski also has extensive business experience. Prior to joining the firm, he founded and served as Chairman and CEO of a venture capital-funded national retail chain. His business experience also includes serving as president of one real estate development company and as general counsel to another. Mr. Sandoloski has served as director and loan committee member of financial institutions.

Quirk, William H.

Chairman of the firm’s Intellectual Property Group, William H. Quirk is a certified patent attorney admitted to practice in the State of Texas and before the U.S. Patent and Trademark Office. Mr. Quirk has practiced intellectual property law for more than thirty years and in FDA and regulatory affairs for nearly as long. Mr. Quirk strategically manages legal affairs for technology development enterprises, developing and monetizing their intellectual property portfolios and resolving pathways for favorable regulatory treatment, all in sync with true corporate objectives.Before joining the firm in 2008 Mr. Quirk served the bulk of his career as in-house counsel for two technology-based consortiums, most recently as General Counsel for medical and veterinary technology developer Vital Needs International, and previously as Associate General Counsel for Intellectual Property and Regulatory Affairs with Kinetic Concepts, Inc., a global medical technology company that leads the marketplace in advanced wound care and therapeutic surfaces.  Prior to that, Mr. Quirk focused on patent and trademark preparation and prosecution in private law practice.

Ketterling, Nathan. A

Nathan Ketterling has been litigating Dispute cases since 2003. He represents individual and business clients in all aspects of the litigation process, including pre-suit, discovery, motion practice, settlement negotiation, trial, and appeals. Mr. Ketterling handles commercial litigation cases for both plaintiffs and defendants, including consumer, breach of contract and products liability litigation.  

Mr. Ketterling started his legal career at a boutique medical malpractice defense firm in San Antonio where he represented doctors, nurses, hospitals, nursing homes, and various other healthcare providers. He has practiced medical malpractice defense and defended healthcare providers for more than 20 years. 

Mr. Ketterling also maintains a non-profit corporate practice, and represents non-profit clients, including churches schools, colleges, and universities, in litigation matters. He advises non-profits on formation, obtaining and preserving tax-exempt status, corporate governance, and complying with Internal Revenue Service regulations.

Starr, Jonathan S.

Jonathan S. Starr has extensive experience in the areas of public finance, banking, and real estate. Mr. Starr represents banks and credit unions in lending and collection matters, including real estate term lending, construction loans, lines of credit and participation agreements. Also, Mr. Starr has experience representing lenders in forbearance, foreclosure and forfeiture proceedings. Mr. Starr is currently general counsel to one of the largest developers of multi-family housing in Texas. He represents developers in acquisition, development and financing. Mr. Starr drafts and structures purchase contracts, development agreements, construction contracts and leases and works with developers and municipalities negotiating zoning and related land use agreements.

Pauerstein, J.D.

Mr. Pauerstein has prosecuted and defended a variety of cases on behalf of businesses and individuals over more than three decades. His experience encompasses business and commercial disputes, including disputes between partners, shareholders, and other business and professional practice owners; disputes between family members over family businesses and real estate holdings; claims arising from non-competition and employment agreements; breach of contract, fraud, unfair competition, antitrust, and deceptive trade practices matters; intellectual property matters, including rights in trademarks, trade secrets, and patents; and errors and omissions claims involving design professionals, lawyers, insurance agents, and financial consultants.  He also has represented parties in probate and estate matters, such as disputes over estate administration and the validity of wills.

Mr. Pauerstein frequently represents elected officials and others involved in politics and government.  He’s advised regarding campaign finance and related issues; represented before the Texas Ethics Commission; defended criminal and civil matters arising out of political activities; and ballot litigation, election contests, and recounts.

Mr. Pauerstein often works with clients to manage and resolve controversies before formal proceedings are initiated. In this context, he seeks to help clients evaluate disputes realistically at an early stage and attempt to resolve them without litigation.

Selected significant matters include:

  • Successfully defended San Antonio technology company in patent infringement litigation brought by subsidiary of Fortune 10 company
  • With partner Ralph Lopez, represented owner of closely held business in securing defense verdict in jury trial of a multi-million dollar dispute with former employees
  • Retained by a defendant four weeks before trial, after an adverse partial summary judgement had been entered, Mr. Pauerstein led a team of lawyers and obtained a jury verdict exonerating the defendant in an antitrust case involving the junior fashion apparel market
  • Obtained a jury verdict in favor of cellular telephone service provider in federal court suit brought by former executive vice president
  • Secured summary judgement completely exonerating nationwide engineering firm in multimillion-dollar suit alleging errors in design of complex water treatment plant
  • Obtained a jury verdict in favor of environment testing products company in suit for theft of its trade secrets, resulting in judgement for actual and punitive damages
  • Successfully represented a family limited partnership in arbitration and litigation arising out of a venture to create an “e-commerce” company
  • Successfully represented a major Texas political party and congressional delegation in state and federal redistricting suits, including approximately six weeks in trial
